MasterPrep AI — Terms of Service

Last updated: October 2026
Version: 1.0

These Terms of Service ("Terms") are a legal agreement between Next Frontier Labs Pty Ltd (ACN 698 199 852, ABN 46 698 199 852) trading as MasterPrep AI ("MasterPrep", "we", "us") and the company or person that signs up for, accesses or uses the MasterPrep AI service ("Customer", "you").

If you have signed a separate written agreement with MasterPrep covering access to the Services, and that agreement is still in force, these Terms do not apply to your use under that agreement. Your signed agreement applies instead.

By ticking the acceptance box at signup, or by accessing or using the Services, you accept these Terms and agree to be bound by them. You accept these Terms once, when you first sign up. They apply from that point for as long as you use the Services, through your free trial and any paid subscription — we do not ask you to accept them again when you subscribe. If you are accepting on behalf of a company or other entity, you represent that you are authorised to bind that entity, and "Customer" means that entity. We record the date, time and IP address of your acceptance.

Please read Section 5 (AI Outputs and Hiring Decisions), Section 10 (Disclaimers), Section 11 (Limitation of Liability) and Section 12 (Indemnities) carefully. They limit our obligations to you and allocate risk between us.

Capitalised terms are defined in Section 17.

Summary — the key points in plain English

This summary is for convenience only. It does not form part of these Terms and the numbered sections below control.

1. Structure of this agreement

1.1 These Terms consist of: (a) the commercial terms in Section 2; (b) the standard terms in Sections 3 to 17; and (c) the policies and pages referenced in these Terms, each of which forms part of these Terms.

1.2 If there is a conflict, Section 2 controls over Sections 3 to 17, and Sections 3 to 17 control over any referenced policy or page.

1.3 These Terms start on the date you first accept them (the "Effective Date") and continue until terminated under Section 8.

2. Commercial terms

Services: The MasterPrep AI cloud platform for conducting structured candidate interviews, including voice and video interview delivery, automated transcription, AI-generated assessment reports and feedback, and integrity signals such as fraud and plagiarism indicators, together with any related software, documentation and support we make available.

Free trial: Every account starts with a free trial. The length of the trial, and the usage limits that apply during it — including the number of roles you can create and candidates you can invite — are shown to you at signup. No fees are payable during the trial and no payment method is required to start one. All of these Terms apply during the trial, including Section 5 (AI outputs and hiring decisions), Section 6 (Privacy, data and security) and Section 12 (Indemnities). At the end of the trial your access ends unless you subscribe to a paid plan — we will not charge you automatically. We may change the length of a trial, the limits that apply to it, or stop offering trials altogether, at any time; any such change does not affect a trial already underway.

Subscription Period: One month, starting on the date you subscribe to a paid plan and renewing automatically each month.

Fees: The fees for the plan you select, as shown to you in the Services when you select or change your plan. Fees are stated in Australian dollars (AUD) or Indian rupees (INR) and are exclusive of taxes unless stated otherwise. Usage above your plan's Use Limitations may incur additional fees, as shown with your plan.

Payment method: Credit card or other payment method you keep on file. You authorise us to charge that payment method for all Fees and applicable taxes, in advance, at the start of each Subscription Period, without further approval.

Renewal and cancellation: Your subscription renews automatically for successive one-month Subscription Periods until cancelled. You may cancel at any time through your account settings or by emailing billing@masterprep.ai. Cancellation takes effect at the end of the then-current Subscription Period. You keep access until then. Fees already paid are not refunded, except where Section 11.5 (Australian Consumer Law) or another provision of these Terms requires a refund.

Use Limitations: The plan limits shown with your plan in the Services, including limits on Users, roles, candidate invitations, interviews, minutes and storage. These remain visible in your account for the duration of your subscription.

Technical Support: Email support at support@masterprep.ai during Australian business hours (AEST/AEST+DST), on commercially reasonable efforts. No service level agreement, uptime commitment or service credits apply to self-serve plans.

Governing law: The laws of Queensland, Australia.

Chosen courts: The courts of Queensland, Australia and the courts competent to hear appeals from them.

General Cap Amount: The greater of (a) AUD $500; and (b) the total Fees paid by Customer to MasterPrep in the three (3) months immediately before the event giving rise to the claim.

Notice address for MasterPrep: legal@masterprep.ai

Notice address for Customer: The primary email address on your account.

3. The Services

3.1 Access and use. During each Subscription Period, and subject to these Terms, you may access and use the Services for your internal business purposes, within your Use Limitations.

3.2 Users. You are responsible for everything done through your account and for your Users' compliance with these Terms. You and your Users must keep login credentials confidential. Tell us promptly if you suspect any unauthorised access or fraudulent activity on your account.

3.3 Changes to the Services. We may add, change or remove features. If we discontinue a feature you rely on, we will tell you before the change takes effect, and you may cancel under Section 8.2 and receive a pro-rata refund of prepaid Fees for the remainder of the current Subscription Period.

3.4 Beta features. We may make early-access or beta features available. Beta features are provided "AS IS", carry no warranty of any kind, and may be changed or withdrawn at any time without notice.

3.5 Feedback. If you give us feedback about the Services, we may use it freely without restriction or obligation to you.

3.6 Usage Data. We may collect and analyse Usage Data to operate, secure, maintain and improve the Services. We may only disclose Usage Data to others in aggregated form that does not identify you, your Users or any candidate.

4. Your obligations and restrictions

4.1 You will not, and will not permit anyone else to:

(a) reverse engineer, decompile or attempt to derive the source code, models, prompts or underlying algorithms of the Services, except to the extent this restriction cannot lawfully be imposed;

(b) resell, sublicense, rent or otherwise make the Services available to any third party, except to your Users and to candidates you invite to interview;

(c) copy, modify or create derivative works of the Services;

(d) remove or obscure any proprietary notices;

(e) conduct security or vulnerability testing on, interfere with, degrade or circumvent access controls of the Services without our prior written consent;

(f) access any account, data or part of the Services you are not authorised to access;

(g) use the Services to build or improve a competing product or service;

(h) use the Services in connection with any High Risk Activity or any activity prohibited by Applicable Laws;

(i) submit Customer Data that you do not have the right to submit, or that infringes anyone's rights; or

(j) use the Services in a way that breaches these Terms, the Documentation or your Use Limitations.

4.2 Suspension. We may suspend your access to the Services, in whole or in part, if: (a) you have an undisputed overdue balance for more than 14 days; (b) you breach Section 4.1 or Section 5.3; (c) your use materially and adversely affects the Services or other customers; or (d) suspension is required by Applicable Laws or to address a security threat. We will give you notice before suspending where it is reasonable and practical to do so, and will describe what you need to do to have access restored. We will restore access once the underlying issue is resolved. Suspension does not suspend your obligation to pay Fees for the current Subscription Period, unless the suspension was not justified under this Section 4.2.

5. AI outputs and hiring decisions

This section is central to how the Services may lawfully and safely be used.

5.1 What the Services do. The Services use artificial intelligence to deliver structured interviews and to generate transcripts, assessment reports, scores, summaries and integrity signals ("Outputs"). Outputs are produced by automated systems, including third-party AI models.

5.2 Decision-support only. Outputs are one input among several that you may consider. The Services are not designed or intended to be the sole or determinative basis for any hiring, screening, ranking, promotion, or other employment decision. All such decisions rest solely with you, must be made by your human reviewers, and are your responsibility.

5.3 Your warranties about how you use the Services. You represent and warrant, on a continuing basis, that:

(a) you comply, and will comply, with all Applicable Laws governing employment, recruitment, equal opportunity, anti-discrimination, workplace relations, privacy, data protection and the use of automated or AI-assisted tools in employment decisions, in every jurisdiction where you use the Services or where your candidates are located;

(b) you have obtained, and will maintain, all consents, notices, authorisations and disclosures required from candidates and any other individuals whose personal information is submitted to or generated by the Services, including consent to being recorded by voice and video, to automated processing and assessment of their responses, and to any cross-border disclosure of their personal information;

(c) you apply meaningful human review to Outputs before making any decision that affects a candidate, and you have your own processes for candidate notification, review, appeal, accommodation and adverse-action handling to the extent Applicable Laws require them;

(d) you have independently assessed whether the Services are suitable and lawful for your intended use, including any bias-audit, impact-assessment, notice, registration or transparency obligations that apply to you as a deployer or user of an AI system; and

(e) you will not use the Services to make any decision about a candidate on the basis of a protected attribute.

5.4 No compliance warranty. We do not advise on, and make no representation about, whether your use of the Services complies with any employment, anti-discrimination, privacy or AI-specific law. You are the deployer of the Services in your recruitment process. See also Section 10.

5.4A Integrity signals. Integrity and fraud detection is enabled by default on your account. You can ask us to disable it. Where it is enabled, it applies to all interviews conducted through your account.

5.5 Accuracy. AI-generated Outputs may be incomplete, inaccurate, inconsistent or reflect bias present in the models or in the underlying data. Integrity and fraud signals are probabilistic indicators only and are not proof that any candidate engaged in, or did not engage in, misconduct. You must not treat any integrity signal as conclusive, and must give candidates a fair opportunity to respond before acting on one.

6. Privacy, data and security

6.1 Ownership of Customer Data. As between the parties, you own all Customer Data, including candidate responses, audio and video recordings, transcripts, assessment reports and other Outputs generated from your interviews. We claim no ownership of Customer Data.

6.2 How we process Customer Data. We process Customer Data only to provide, secure, maintain and support the Services, to comply with Applicable Laws, and as otherwise instructed by you through your use of the Services.

6.3 No AI training on Customer Data. We do not use Customer Data to train, fine-tune or otherwise develop or improve any artificial intelligence or machine learning model, whether our own or a third party's. We configure the AI services we use so that data submitted through the Services is not used to train their models. This does not restrict our use of Usage Data under Section 3.6, or our use of aggregated statistics that do not contain and cannot be used to identify or re-identify any Customer Data, candidate, User or Customer.

6.4 Roles and privacy law. For the purposes of the Privacy Act 1988 (Cth) and the Australian Privacy Principles, each party is responsible for its own compliance in relation to personal information it handles. You determine the purposes for which candidate personal information is collected and used. We handle it as a service provider acting on your instructions. Where the GDPR, the UK GDPR or a comparable law applies, you are the controller and we are the processor. This Section 6 sets out the terms on which we process personal information on your behalf, and forms our data processing terms for that purpose.

6.5 Sub-processors and overseas disclosure. We use sub-processors, including cloud hosting and AI model providers, to deliver the Services. Our current sub-processor list, including the countries in which each processes data, is published at https://masterprep.ai/subprocessors.html. Customer Data is stored and processed outside Australia. Interview video recordings are stored in India. Application hosting, databases, payments and email delivery are provided from the United States. Speech processing is provided from the United States, the Netherlands and Singapore. AI model processing runs on globally distributed infrastructure, and a single processing country cannot be identified. By using the Services you authorise these disclosures and confirm you have made any disclosures and obtained any consents required from candidates under Australian Privacy Principle 8 or equivalent law. We may add or replace sub-processors; the published list will be updated when we do. We remain responsible for our sub-processors' performance of our obligations under these Terms.

6.6 Security. We maintain administrative, technical and physical safeguards designed to protect Customer Data against unauthorised access, loss, alteration or disclosure. These include encryption of Customer Data in transit, access controls limiting access to personnel who need it, and hosting with established cloud providers. We do not hold, and do not commit to obtaining, any specific security certification (such as SOC 2 or ISO 27001) for self-serve plans, and we may decline requests to complete security questionnaires or audits.

6.7 Data breach. If we become aware of a breach affecting your Customer Data, we will notify you without undue delay and give you the information reasonably available to us to allow you to meet your own notification obligations, including under the Notifiable Data Breaches scheme.

6.8 Prohibited Data. You will not submit, and will take reasonable steps to prevent candidates from submitting, Prohibited Data to the Services. Because interviews are recorded, you acknowledge that recordings may incidentally capture sensitive information; you are responsible for the consents covering this and for instructing candidates not to volunteer information you do not require.

6.9 Retention and deletion. We retain Customer Data for the duration of your subscription. Interview video and audio recordings held in our storage are deleted automatically 30 days after the interview. On expiry or termination, you may export your Customer Data for 30 days; after that, we will delete Customer Data held in systems under our control within 60 days, and will instruct our sub-processors to delete Customer Data held by them. Deletion is subject to backup retention cycles, sub-processor technical capabilities, and any retention required by Applicable Laws. You acknowledge that sub-processors may retain service and diagnostic logs which can include Customer Data, including audio and transcription data processed through their services, in accordance with their own retention policies and for periods which may not be time-limited, and that such logs are not individually retrievable or deletable by us. You are responsible for setting retention periods for candidate data that comply with your own legal obligations.

7. Fees, billing and taxes

7.1 Payment. You authorise us to charge your payment method on file for all Fees and applicable taxes at the start of each Subscription Period, and for any usage-based charges in arrears. You must keep a valid payment method on file. We will make billing records available in your account.

7.2 Failed payment. If a charge fails, we may retry, and we may suspend access under Section 4.2 if the balance remains unpaid and undisputed for more than 14 days.

7.3 Taxes. Fees are exclusive of GST, VAT, sales, use, withholding and similar taxes. You are responsible for all such taxes, other than taxes on our income. Where GST applies to a taxable supply under these Terms, we will issue a valid tax invoice and you must pay an additional amount equal to the GST.

7.4 Price changes. We may change our prices. We will give you at least 30 days notice by email or in-product before a price change takes effect. The change applies from your next Subscription Period after the notice period ends. If you do not accept the change, you may cancel before it takes effect and you will not be charged the new price.

7.5 Disputed charges. If you dispute a charge in good faith, tell us within 30 days of the charge. You must pay all undisputed amounts on time. We will work with you to resolve the dispute within 15 days.

7.6 No refunds. Except as expressly stated in these Terms or required by Applicable Laws (including the Australian Consumer Law), Fees are non-refundable and we do not provide partial-period refunds or credits for unused Services.

8. Term, renewal and termination

8.1 Renewal. Your subscription renews automatically for successive one-month Subscription Periods until cancelled under Section 8.2 or terminated under Section 8.3.

8.2 Cancellation by you. You may cancel at any time, effective at the end of the then-current Subscription Period. You retain access until that date. No notice period applies.

8.3 Termination for cause. Either party may terminate immediately by notice if the other party: (a) materially breaches these Terms and does not cure the breach within 30 days of notice; (b) materially breaches these Terms in a way that cannot be cured; or (c) becomes insolvent, is wound up, has an administrator, liquidator or receiver appointed, or stops carrying on business.

8.4 Termination by us for misuse. We may terminate immediately by notice if you breach Section 4.1, Section 5.3 or Section 6.8, or if we reasonably believe your continued use exposes us, candidates or other customers to legal liability or material harm. We will state the reason in the notice.

8.5 Termination for convenience by us. We may discontinue the Services or terminate these Terms on 30 days notice. If we do, we will refund a pro-rata portion of any Fees you have paid for the unused part of the current Subscription Period.

8.6 Effect of termination. On expiry or termination: (a) your right to use the Services ends; (b) Section 6.9 (retention and deletion) applies; (c) each party will return or destroy the other's Confidential Information, subject to routine backup retention and legal requirements; and (d) all Fees accrued before termination become payable.

8.7 Survival. Sections 3.5, 3.6, 4.1, 5, 6.1, 6.3, 6.9, 7 (for accrued amounts), 8.6, 8.7, 9, 10, 11, 12, 13, 14, 16 and 17 survive termination.

9. Representations and warranties

9.1 Mutual. Each party represents and warrants that it has the power and authority to enter into these Terms, is validly existing under the laws of its place of incorporation, and will comply with Applicable Laws in performing its obligations.

9.2 From Customer. You represent and warrant that you and your Users have all rights necessary to submit Customer Data to the Services and to permit its use as described in these Terms, and you repeat the warranties in Section 5.3.

9.3 From MasterPrep. We warrant that we will provide the Services with due care and skill.

9.4 AI outputs excluded from warranty. The warranty in Section 9.3 relates to the provision of the Services. It is not a warranty about the content, accuracy, fairness, completeness or fitness of any Output. See Section 10.

9.5 Warranty remedy. If we breach Section 9.3, tell us within 45 days of discovering the issue, with enough detail for us to reproduce it. We will use reasonable efforts to restore functionality within 45 days. If we cannot, you may terminate and receive a pro-rata refund of prepaid Fees for the remainder of the current Subscription Period. Subject to Section 11.5, this is your sole remedy for breach of Section 9.3.

10. Disclaimers

10.1 Subject to Section 11.5, and except for the express warranties in Section 9.3, the Services and all Outputs are provided "AS IS" and "AS AVAILABLE".

10.2 We specifically make no representation or warranty that:

(a) any Output is accurate, complete, reliable, consistent, unbiased, free from discriminatory effect, or free from error;

(b) any Output is a valid, predictive or reliable measure of a candidate's skills, ability, suitability, honesty or future job performance;

(c) any integrity, fraud or plagiarism signal correctly identifies misconduct, or that its absence indicates the absence of misconduct;

(d) your use of the Services, or any decision you make with the assistance of the Services, complies with any employment, equal opportunity, anti-discrimination, privacy, data protection or AI-specific law; or

(e) the Services will be uninterrupted, secure, or free of harmful components.

10.3 To the maximum extent permitted by Applicable Laws, we disclaim all warranties, conditions, guarantees and representations not expressly stated in these Terms, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

10.4 We are not responsible for any third-party product, service or integration you connect to the Services, or for any misuse or unauthorised modification of the Services.

11. Limitation of liability

11.1 Liability cap. Subject to Sections 11.4 and 11.5, each party's total aggregate liability for all claims arising out of or relating to these Terms will not exceed the General Cap Amount.

11.2 Excluded damages. Subject to Sections 11.4 and 11.5, neither party is liable to the other for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, loss or corruption of data (other than a party's breach of Section 13), or for any indirect, consequential, special, punitive or exemplary loss, even if advised of the possibility.

11.3 Application. These limits apply to all liability, whether in contract, tort (including negligence), under statute, or otherwise.

11.4 Exceptions. Sections 11.1 and 11.2 do not apply to: (a) your obligation to pay Fees; (b) your indemnity obligations under Section 12.3; or (c) a party's fraud or wilful misconduct, or a party's deliberate unauthorised disclosure of the other's Confidential Information. For clarity, any liability arising from unauthorised access to or loss of Customer Data remains subject to the General Cap Amount.

11.5 Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right, warranty or remedy under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law, that cannot lawfully be excluded, restricted or modified. Where the Australian Consumer Law applies and our liability may be limited, our liability for a failure to comply with a consumer guarantee in respect of services is limited, at our option, to resupplying the services or paying the cost of having the services resupplied.

11.6 Your responsibility for decisions. Nothing in these Terms makes us liable for any employment decision you make, or for the consequences of that decision, whether or not you used an Output in making it.

12. Indemnities

12.1 No infringement indemnity. We do not indemnify you against third-party intellectual property claims relating to the Services. See the disclaimer in Section 10.3.

12.2 If an infringement claim arises. If a third party claims the Services infringe their intellectual property rights, we may at our option obtain the right for you to keep using the Services, modify or replace the affected part, or terminate these Terms and refund prepaid Fees for the remainder of the current Subscription Period.

12.3 By Customer. You will defend us against any third-party claim brought by a candidate, applicant, employee, former employee, worker representative or regulator alleging discrimination, unfair or unlawful hiring or selection practice, breach of privacy or data protection law, or other breach of employment law, to the extent the claim arises from: (a) your hiring, screening or selection decisions; (b) your use of the Services or of any Output; or (c) your breach of Section 5.3 or Section 6.8 — and you will pay damages and costs finally awarded or agreed in settlement.

12.4 Limits on Customer's indemnity. Section 12.3 does not apply to the extent the claim is caused by: (a) our breach of these Terms; (b) our negligence or wilful misconduct; or (c) our failure to provide the Services in accordance with Section 9.3.

12.5 Procedure. The indemnified party must promptly notify the indemnifying party of the claim, give it sole control of the defence and settlement, and provide reasonable assistance at the indemnifying party's expense. The indemnified party may participate with its own lawyers at its own cost. The indemnifying party may not settle in a way that admits fault by, or imposes a non-monetary obligation on, the indemnified party without its consent, not to be unreasonably withheld. Failure to notify promptly reduces the indemnity only to the extent the indemnifying party is prejudiced.

12.6 Exclusive remedy. This Section 12 sets out each party's entire liability and exclusive remedy for the claims it covers.

12.7 Australian Consumer Law. Nothing in this Section 12 excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

13. Confidentiality

13.1 Each party will use the other's Confidential Information only as needed to perform under these Terms, will not disclose it to anyone else except as permitted here, and will protect it with at least reasonable care.

13.2 Confidential Information does not include information that the recipient already knew without obligation of confidence, that is or becomes public through no fault of the recipient, that the recipient receives from a third party entitled to disclose it, or that the recipient develops independently.

13.3 A party may disclose Confidential Information to the extent required by Applicable Laws, giving the other party advance notice where lawful and practical.

13.4 A party may disclose Confidential Information to its employees, contractors, advisers and sub-processors who need to know it and are bound by confidentiality obligations at least as protective as these, and remains responsible for their compliance.

14. Intellectual property

14.1 We own all right, title and interest in the Services, including all software, models, prompts, scoring logic, interfaces and documentation, and all improvements to them. You receive only the limited right of access and use in Section 3.1.

14.2 You own all right, title and interest in Customer Data. You grant us a non-exclusive licence to host, copy, process, display and transmit Customer Data solely to provide the Services and as otherwise permitted in Section 6.

14.3 Publicity. We will not use your name or logo publicly without your prior written consent.

15. Changes to these Terms

15.1 We may change these Terms. We will give you at least 30 days notice of any material change by email to your account address or by in-product notice, and will post the updated Terms with a new "Last updated" date.

15.2 The change takes effect at the start of your first Subscription Period beginning after the notice period ends. If you do not accept the change, you may cancel under Section 8.2 before it takes effect, at no charge beyond Fees already due. Continuing to use the Services after the change takes effect means you accept it.

15.3 Changes required to comply with Applicable Laws, or to address a security or legal risk, may take effect with shorter notice. We will tell you why.

16. General

16.1 Entire agreement. These Terms are the entire agreement between us about their subject matter and replace all earlier statements about it. We reject any terms in your purchase order or vendor portal unless we have agreed to them in a signed written agreement.

16.2 Severability and waiver. If any provision is invalid or unenforceable, the rest remains in force. A failure to enforce a right is not a waiver of it.

16.3 Governing law and courts. These Terms are governed by the laws of Queensland, Australia. Each party submits to the exclusive jurisdiction of the courts of Queensland and the courts competent to hear appeals from them. This does not limit any right you have to bring proceedings, or make a complaint to a regulator, in your own jurisdiction where Applicable Laws give you that right and it cannot be excluded. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.4 Urgent relief. Either party may seek an injunction or other urgent equitable relief in any court of competent jurisdiction for actual or threatened breach of Section 13 or infringement of its intellectual property rights.

16.5 Assignment. Neither party may assign these Terms without the other's written consent, except that either party may assign on notice as part of a merger, change of control or sale of substantially all of its business or assets. Any other attempted assignment is void.

16.6 Notices. Notices must be in writing and sent to the notice addresses in Section 2. Notices are deemed given on confirmed delivery if by email or personal delivery, or two business days after posting if by commercial overnight delivery. You must keep your account email address current.

16.7 Independent contractors. The parties are independent contractors. Nothing creates a partnership, agency, joint venture or employment relationship.

16.8 No third-party beneficiaries. No one other than the parties has any right to enforce these Terms.

16.9 Force majeure. Neither party is liable for delay or failure to perform caused by an event outside its reasonable control, provided it takes reasonable steps to mitigate. This does not excuse payment of Fees. If such an event prevents the Services from materially operating for 30 or more consecutive days, either party may terminate and we will refund prepaid Fees for the unused remainder of the current Subscription Period.

16.10 Trade sanctions and export. You represent that you are not, and are not owned or controlled by, a person or entity subject to sanctions under the Autonomous Sanctions Act 2011 (Cth), the Charter of the United Nations Act 1945 (Cth), or any equivalent sanctions regime of Australia, the United Nations, the United States, the United Kingdom or the European Union, and that you are not located in a country or region subject to comprehensive trade sanctions. You will not use or make the Services available in breach of any applicable export control or sanctions law. We may suspend or terminate immediately to comply with those laws.

16.11 Anti-bribery. Neither party will offer, give or receive anything of value improperly to obtain or retain business, in breach of any anti-bribery or anti-corruption law.

16.12 Interpretation. Headings are for convenience only. "Including" and similar words are not limiting. References to a statute include any amendment or replacement of it.
